Terms and Conditions for LuminaWeb Services

Welcome to LuminaWeb. These Terms and Conditions govern your use of our web design and development services. By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the service.

1. Services Provided

2. Client Responsibilities

The client agrees to provide LuminaWeb with timely access to all necessary information, content (text, images, videos, etc.), and approvals required for the completion of the project. Delays caused by the client's failure to provide such materials may affect project timelines and deliverables.

The client is responsible for reviewing and approving all deliverables at specified project milestones.

3. Payment Terms

Payment schedules and amounts will be detailed in the project proposal or agreement. Unless otherwise specified, a deposit may be required before commencing work, with subsequent payments due at agreed-upon milestones or upon completion of services.

Failure to make timely payments may result in the suspension of services or project delivery until all outstanding balances are settled.

4. Intellectual Property

Upon full and final payment for services rendered, the client will own the intellectual property rights to the final website design, code, and content specifically developed for them by LuminaWeb, unless otherwise agreed upon in writing.

LuminaWeb retains the right to use any non-client-specific tools, concepts, or technical solutions developed during the project for other clients or internal purposes.

5. Confidentiality

Both parties agree to keep all confidential information, including business strategies, proprietary data, and project details, confidential and not to disclose it to any third party without prior written consent.

6. Limitation of Liability

LuminaWeb will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the service; (ii) any conduct or content of any third party on the service; (iii) any content obtained from the service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

7. Termination

Either party may terminate a service agreement if the other party breaches any of these Terms and fails to remedy the breach within a reasonable timeframe after receiving written notice.

Upon termination, any outstanding payments for work completed up to the termination date will become immediately due.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

9. Changes to Terms

LuminaWeb reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
